General provisions of the charter

charter of the all-Russian public organization "Russian Academy of Engineering" (RAE)
, formulated in
accordance with the requirements of the Federal Law on "Public Associations" , was adopted at the RAE shareholders meeting on
March 23, 2006 . On July 13, 2006, the national registration was carried out on the basis of the number 2067799024050 .
The academy operates on the territory of the Russian Federation and is guided by the Constitution, the current laws of the Russian Federation and this Charter. The activities of the college are based on the principles of autonomy, voluntariness, equality of members, legitimacy, propaganda, democracy, scientific independence, alternative solutions to scientific and engineering problems, and the connection between science, technology, education and practice.

College rights and obligations
In order to achieve the statutory goals, the college has the right to:
- Participate in determining the development direction of applied science;
- Conduct public coordination of multi-purpose scientific, technological and engineering development;
- Establish and strengthen scientific ties with the Russian Academy of Sciences, national academies of sciences, branches of other countries, domestic and foreign scientific and technical societies and other scientific organizations;
- Expand business contacts with all legal persons and individuals, including foreigners, and develop mutually beneficial cooperation in the fields of science, technology, new technology creation, economy and finance;
- Develop public and independent projects and program expertise in the field of college activities;
- Organize and carry out research and experimental work in the fields of technology, natural and economic sciences;
- Participate in the implementation and financing of Russian and international programs related to the Academy;
- Organize conferences, symposiums, conferences, seminars, conferences, round tables, creative discussions, exhibitions and expositions according to statutory activities;
- Formulate, approve and implement its activity plan, determine the direction and expenditure of the college's funds and assets;

- Carry out other types of activities within the framework of the current laws of the Russian Federation and this Charter.
The college has the obligation:
- Comply with the laws of the Russian Federation, the recognized principles and norms of international law, and the norms stipulated in this Charter and other constituent documents;
- The organization that makes the decision is notified every year of the registration of the public association, the continuation of its activities, the change of the position of the governing body and the composition of the leader;
- To admit representatives of the same institution to participate in the activities of the college and to assist them to familiarize themselves with the activities of the college in achieving statutory goals and complying with the current legislation of the Russian Federation;
- At the request of the above-mentioned agencies, the decision and information shall be submitted in the number prescribed by law.
Rights and obligations of college members
The members of the college can be individuals (individuals)-highly educated citizens, or legal persons-public associations.
The college accepts Russian scientists and engineers (scientific workers) who are well known in the engineering world. They are experts in the fields of technology, natural and economic sciences, who have enriched science and practice through outstanding scientific works, engineering developments and discoveries. The membership of the college can be formally determined as a full member or corresponding member, which is elected by the college’s representative assembly or meeting.
In order to enable the engineering community to participate widely in the activities of the college, an academic advisory institute was created, mainly nominated by young scientists and engineers, who were selected in a competitive manner based on the structure of the college, the introduction of regional branches and organizations , And was approved by the Bureau.
Individual members of the college have the right to:
- Participate in all types of activities and events of the college;
- Elect and be elected as the management, control and other institutions of the college;
- Submit scientific and organizational proposals for consideration by the Bureau and other institutions of the college, and make suggestions for improving the activities of the college;
- Publish your scientific articles and works in the college version;
- Receive scientific and technical information and use the college’s database;
- Use the college's property and funds in a prescribed manner;
- Receive complete information about college activities, institutions and organizations;
- Apply to the college for consultation, scientific, organizational and other assistance;
- Enjoy the protection of the legal rights of the college and obtain the support of the college to realize its creative interests in state and local governments, courts, public associations, and relationships with legal persons and individuals (including foreign countries);
- Participate in the activities of the college and its structure, regional departments and organizations;
- Freely leave the college through personal application.
The collective members of the college can be legal entities-public associations designed to promote the development of science and technology as a whole or its branches, which unite citizens engaged in engineering and scientific activities.
Legal entities participate in the activities of the college through their representatives. The procedure for approving legal entities to join the college is determined by the college bureau.
The collective members of the college have the right to:
- Entrust representatives to participate in the work of college meetings by way of decisive voting;
- Using the scientific and engineering development achievements of the Academy of Sciences, invite experts from the Academy of Sciences to analyze its scientific and technological development and conduct expert reviews;
- Receive scientific and technical information;
- Conduct training and retraining for the college’s experts to master new technologies, engineering achievements, etc.;
- Submit issues of fundamental importance to scientific and technological progress to the governing body of the college for consideration;
- Participate in the college's science program.
College members-legal entities are obliged to pay the entrance fee and membership fee of the amount determined by the presidium of the college, and agree to the legal person management and abide by the "Articles of Association".
The General Assembly elects a council of elders from among the academicians of the Russian Academy of Sciences, which usually includes honorary academicians. The Council of Elders is the advisory body of the College Presidium. The activities of the Council for the Elderly are aimed at establishing a link between basic research and applied research.
The Elderly Council shall act in accordance with the "Elderly Council Regulations" approved by the College Presidium.
If the following situations occur, the membership of the college may be lost:
- Violation of the requirements of the Charter;
- Acts that disrupt the activities of the college;
- Immoral attitudes towards members of the college and its governing bodies;
- The structure related to the college, the regional department or organization has lost contact, and the dues have not been paid for more than two years;
- Failure to comply with the current laws of the Russian Federation;
- Own desire.
In this case, the presidium of the college decided to suspend the membership of the college. According to the established procedures recommended by the presidium, the college assembly decided to exclude the college from the issue.
The governing body of the college
The highest governing body of the college is the Congress, which is held every five years by the presidium. The presidium stipulates the system of representation and the procedures for electing representatives. If at least 2/3 of the representatives representing more than half of the regional branches of the college participate in the work of the college, they are eligible to participate in the college’s Congress.
The General Assembly makes its decisions by a simple majority vote of the delegates present. The voting procedure is determined by Congress. Regarding the question of the exclusive authority of Congress, the decision was made by 2/3 votes.
At the request of half of the regional branches or 1/2 of the college members, a special meeting of the college can be called by the decision of the college presidium. The college’s congress can solve any problems in its activities.
The exclusive authority of the conference includes:
- Approve the "Articles of Association", make changes and additions to it, and perform subsequent registration in the prescribed manner;
- Elect the dean of the college;
- Election of the College Control and Audit Committee, review and approve its report;
- Solve the reorganization or liquidation of the college.
Between two conferences, usually, the college presidium convenes once a year. The number of participants and the procedures for dispatching to the meeting are determined by the presidium of the college. The decision of the meeting is made by a simple majority vote of its participants. The order of voting is determined by the General Assembly. The conference can resolve any issues related to the activities of the college, except for issues related to the exclusive authority of the conference.
College meeting:
- Summarize the priority direction of college activities;
- Determine the development direction of technology and science, including in the Federal District and Federal District;
- Election of new members of the college based on the recommendations of the Competition Commission;
- Submit the proposal on the composition of the presidium of the college to the conference for consideration;
- Election of the deputy dean of the college;
- Be elected to the presidium of the college;
- Review the report of the Bureau and make a decision;
- Hear the report of the regional branch of the college;
- Formulate and submit to the conference for deliberation to improve the organizational structure of the college;
- According to the proposal of the presidium, the membership of the presidium of the college was suspended and the vice chairman was dismissed.
In order to manage the activities of the college in the period between the two conferences, the college presidium was elected-the permanent management body of the college led by the dean of the college.
The presidium of the college is elected by the college assembly and has a term of five years.
The following members of the presidium can be elected: the vice chairman of the college, the scientific secretary of the presidium, the head of the regional department of the college, and the members of the college. The presidium of the college exercises the rights of a legal entity on behalf of the college and performs its duties in accordance with this constitution and applicable laws.
The college bureau meeting is held as needed, but at least once a quarter.
If more than half of the presidium members attend the meeting, the presidium of the college will be capable. The decision is passed by a simple majority vote of the attendees of the presidium meeting.
College Bureau:
- Decided to convene a conference (Conference) for its preparation and actual work;
- Prepare questions for discussion at the college's conference (meeting);
- Organize the work of the regional departments of the college to implement the decisions of Congress (meetings);
- Approve the assignment of duties among the vice presidents of the college in accordance with the instructions of the college;
- Review and approve the budget, budget implementation report; and the college’s income and expenditure estimates;
- Decide on the economic and financial activities of the college and manage the property of the college;
- Approve plans for the most important research and engineering work on the subject of the college, and take practical measures to implement them;
- Promote the introduction and effective utilization of scientific achievements in practice;
- Organize training and advanced training for college personnel;
- The academy established for outstanding scientific work and engineering development, and awarded the academy medals and awards;
- Approval of the plan for college publications;
- Organize and conduct scientific conf regrets, symposiums, congresses, conferences, meetings, conferences on the subject of the college;
- Accept legal entities and academic advisors from the college;
- Establish regional branches of the college, establish the organization of the college, coordinate its activities and make decisions on its reorganization and liquidation;
- Determine the quota for electing official members and corresponding members of the college;
- Interact with organizations in the science and engineering communities to solve pressing problems in engineering activities;
- Carrying out foreign economic, corporate, publishing and other types of activities prohibited by law;
- Organize interaction with federal and regional legislative and executive departments;
- Every year, relevant state agencies are notified of the continuation of relevant college activities, and the amount of information included in the unified legal entity united state register is used to indicate the actual location of the permanent management agency, its name and leader information;
- Appoint and dismiss the academic secretary of the presidium of the college.
- Decide on other issues of college activities necessary to achieve statutory goals and objectives, and these issues are not included in the exclusive authority of college meetings;
- In order to conduct business management of actual activities during the period between two meetings, the presidium elects the presidium of the college’s presidium from among its members.
The presidium of the college presidium is convened by the dean of the college when necessary, but at least once a month.
If the college has more than 1/2 members present, the meeting of the presidium of the college is capable. The decision of the presidium of the college is passed by a majority of the people present at the meeting through a public vote.
The presidium is responsible to the presidium of the college.
The college’s control and audit committee is elected by the college’s congress from among its members for a term of 5 years and is the college’s control agency.
Members of the Control and Audit Committee cannot be elected as members of the College Presidium and College Administrators.
The work of the control and audit committee is supervised by the chairman and elected by the president's assembly for a term of five years.
College Control and Audit Committee:
- Annual review of the college’s financial activities:
- Supervise compliance with the law and compliance with the requirements of the Charter in the activities of the college;
- Inform the presidium of the college of the inspection results
- The work done is reported to the college assembly, and the report of the control and audit committee is approved by the assembly.
The members of the control and audit committee have the right to request the dean of the college, college members, and college administrators to submit documents related to the financial activities of the college.
Regional structure of the college
The structure of the college is composed of regional divisions-departments, branches and representative offices, created by the decision of the college's presidium.
The regional office operates on the territory of the constituent entity of the Russian Federation, created by at least three members of the Academy or academic advisers, and operates in accordance with this statute or its own statute that does not violate this statute and is approved by the presidium of the Academy.
The regional branches of the college obtain the rights of legal entities in the manner prescribed by law.
Regional branches-legal entities, have the right to carry out entrepreneurship and foreign economic activities in the manner prescribed by law, and establish economic structures and non-profit organizations.
The highest governing body of the club is the general meeting of members acting in accordance with this charter, which is held at least once a year. A special meeting of the branch can be convened upon the decision of the branch bureau or at the request of 1/3 of the members of the branch.
If the club’s membership exceeds 1/2, the club’s general meeting of shareholders will be competent. It is decided to make a public vote by a simple majority vote of the department members attending the conference. The shareholders meeting of the regional department of the college decides any issues related to department activities.
The exclusive authority of the departmental assembly includes determining the main direction of the activity, approving the plan and work plan, electing the chairman, vice chairman, department scientific secretary, department presidium, approving the annual report, and making a decision on petitioning to the presidium of the Academy of Sciences to determine departmental reorganization and liquidation .
The term of office of the presidium of the regional branch is five years, serving as the permanent governing body of the branch between the two meetings of the branch general meeting.
The bureau meeting is held at least once a quarter as needed. If the presidium has more than 1/2 members attending the meeting, the presidium will be competent. The bureau members of the branches present at the meeting shall make a decision by a simple majority of public votes.
The presidium decides on all issues related to the activities of the department, except for the only issues related to the authority of the department assembly of the college. The bureau of the department decides on the list of candidates to nominate members of the college.
The department’s activities are led by the first chairman, who is elected by the department’s general meeting of shareholders for a five-year term. The chairman can participate in the work of the presidium of the college and be responsible to him. The chairman of the department determines the powers of his representatives.
The vice chairman of the regional department directs the work in the field of activity and is elected by the departmental assembly for a term of five years.
The scientific secretaries of the regional departments are elected by the departmental assembly for a term of five years and are responsible for the scientific and organizational work of the current department.
The regional department’s general meeting of shareholders elects a revision committee to review financial activities! And the term of the branch is 5 years.
The audit committee of the regional department submits its work report to the control and audit committee of the college every year, which is approved by the conference of the regional department.
The college presidium and representative office are established by the college presidium and act in accordance with the regulations approved by the presidium. The heads of the branch and representative office are appointed by the presidium of the college and act according to the authorization issued by the dean of the college.
